Terms of Use

These terms of use (the "Terms") set out the conditions under which any person (the "User") accesses and uses the website gdr-agency.com and its subdomains (the "Site").

The Site is published by 佛山市云宝汇科技有限公司 (Foshan Yunbaohui Technology Co., Ltd.), the company operating the GDR Agency brand ("GDR"), whose registration details are set out in the legal notice.

These Terms apply solely to the browsing of the Site. The provision of GDR's services is governed by separate contracts, which shall prevail over these Terms in the event of any conflict.

"Site": the website gdr-agency.com, its pages, content and subdomains.

"User": any natural or legal person accessing the Site, by whatever means.

"Services": the services offered by GDR, including Software Engineering, Infrastructure, E-commerce API, Sourcing Platform, GEO / SEO and Residential Network.

"Client": any User who has entered into a contract with GDR for one or more Services.

"Content": all texts, visuals, logos, trademarks, code, interfaces and other elements available on the Site.

Accessing the Site constitutes full and unconditional acceptance of the Terms in force. Any User who does not accept them must refrain from using the Site.

GDR may amend these Terms at any time, in particular to reflect legal, regulatory or technical developments. The applicable version is the one published on the Site on the date of access; the date of the latest update is shown at the top of the page.

The Site is accessible free of charge, 24 hours a day, 7 days a week, to any User with internet access. Connection and equipment costs are borne by the User.

GDR uses reasonable efforts to ensure the availability of the Site, without any obligation of result. Access may be suspended, restricted or interrupted, in particular for maintenance, updates, security reasons or force majeure, without notice or compensation.

The information published on the Site, including examples, demonstrations and technical previews, is provided for information and presentation purposes only. It constitutes neither a contractual offer nor a guarantee of results.

The features, timelines, prices and service levels of each Service are exclusively those set out in the commercial proposal and the contract signed between GDR and the Client.

The User undertakes to use the Site fairly, in accordance with applicable laws and these Terms.

In particular, the User shall not: attempt to intrude into or gain unauthorized access to GDR's systems; extract, collect by automated means or massively reuse the Content without written authorization; take any action likely to disrupt, overload or impair the operation of the Site; introduce viruses or malicious code; impersonate any person or transmit false information; or use the Site for any unlawful or fraudulent purpose or in breach of public order.

GDR reserves the right to block, without notice, the access of any User who breaches these obligations, and to take any appropriate action.

The Residential Network and E-commerce API Services are reserved exclusively for professional Clients, subject to verification of their identity and use case, and under a written contract.

The Client undertakes to use these Services solely for lawful purposes, in compliance with applicable laws, the rights of third parties and personal data protection rules. The following are strictly prohibited, without limitation: fraud, scams, sending unsolicited communications, accessing unlawful content, circumventing access control measures in breach of the law, and any infringement of intellectual property rights or privacy.

GDR reserves the right to suspend or terminate any access with immediate effect in the event of use contrary to the law or the contract, and to cooperate with the competent authorities where required by law.

Information submitted through the contact form must be accurate and truthful. It is used to respond to the User's request, under the conditions described in the privacy policy.

Submitting a request does not bind either the User or GDR to enter into a contract.

The Site and all of its Content are the exclusive property of GDR or its partners and are protected by applicable intellectual property rights, in China and internationally.

Any reproduction, representation, adaptation, translation or exploitation of the Content, in whole or in part, by any means whatsoever, without GDR's prior written authorization, is prohibited and constitutes infringement.

Browsing the Site does not grant the User any license or right over the Content, other than a private, personal and non-exclusive right of use.

The names GDR and GDR Agency, their logos and the names of the Services are distinctive signs of GDR. Third-party trademarks mentioned on the Site (search engines, platforms, technologies) belong to their respective owners and are referred to for descriptive purposes only.

The Site may contain links to third-party websites. GDR has no control over such websites and disclaims all liability for their content, practices or availability.

Linking to the Site is permitted without prior request, provided that the link opens in a new window and does not harm GDR's image. Any framing technique is prohibited.

The processing of personal data collected through the Site is described in the privacy policy, which forms an integral part of these Terms.

The Site does not use any advertising cookies or tracking technologies. Only strictly necessary technical cookies may be placed.

GDR implements technical and organizational measures designed to protect the Site and the data transmitted through it: encrypted communications (HTTPS), continuous monitoring and access control.

Any vulnerability discovered on the Site may be reported in good faith to contact@gdr-agency.com. GDR undertakes to handle each report diligently and not to take action against researchers acting in good faith, without exploitation or premature public disclosure.

GDR endeavors to publish accurate and up-to-date information but cannot guarantee that it is entirely free of errors or omissions. The User remains solely responsible for any use made of the published information.

To the extent permitted by law, GDR shall not be liable for any indirect damage arising from access to or use of the Site, including any interruption, malfunction, loss of data or the presence of a virus.

GDR shall not be held liable for any failure resulting from force majeure or from any event reasonably beyond its control, including natural disasters, telecommunications network failures, cyberattacks, decisions of public authorities or labor disputes.

If any provision of these Terms is held to be void or unenforceable, the remaining provisions shall remain in full force and effect.

GDR's failure to enforce any breach shall not constitute a waiver of its right to do so at a later time.

These Terms are drafted in several languages. In the event of any discrepancy in interpretation, the French version shall prevail.

These Terms are governed by the laws of the People's Republic of China.

In the event of any dispute relating to their interpretation or performance, the parties shall first seek an amicable resolution. Failing agreement within thirty days, the dispute shall be submitted to the competent people's court with jurisdiction over GDR's registered office in Foshan (Guangdong Province).

These provisions do not deprive a User acting as a consumer of the protection afforded by the mandatory provisions of the law of their country of residence.
